Licensing

IMPORTANT: Please read the Licensing help file from the Evals & Downloads section as it has more detailed information than this summary.

One Runtime License is required per user/per server.
One Deployment License is included with the Development License.

OCR Enabled Deployment: a deployment where the optical character recognition features of the Software are enabled within the Application Software.

Non OCR Enabled Deployment: a deployment where the optical character recognition features of the Software are not enabled within the Application Software.

Please note there are a number of different ways to purchase Runtime Licenses

Client Licensing:

Stand Alone Runtime License: A "Stand Alone Deployment" includes any and all copies of the Application Software installed, used, distributed, leased, or sold by Licensee and any of its customers, employees, distributors, resellers, affiliates or other channel partners.

Concurrent Runtime License: Similar to the "Stand Alone Deployment", a "Concurrent Deployment" is where the Application Software is installed on a server or network and only a specified number of the computers connected to the server or network can access the Application Software at the same time, you will need 1 Concurrent Runtime License for each of the computers that are permitted simultaneous access to the Application Software.

Non Prepaid Runtime License: One license is required per user. You need to purchase one Runtime License per deployed application. You may purchase Stand Alone or Concurrent licenses.
(This license option is likely to be used when you need less than 50 Non OCR Enabled Runtime licenses or less than 10 OCR Enabled Runtime licenses or do not know how many users you will need to deploy to).

OR

Prepaid Runtime License: One license is required per user however you can save money by purchasing a block of Runtime Licenses before deploying your application. You can purchase Stand Alone or Concurrent licenses.
(This license option is likely to be used when you know you will need at least 50 Non OCR Enabled Runtime licenses or at least 10 OCR Enabled Runtime licenses as it reduces the cost and also allows you to distribute in the knowledge that you already have the runtime license fee covered).

Server Licensing:
Server Runtime License: Available if the software is to reside solely on the server and no software is to be distributed to client machines.
One Server Runtime License is required per server machine (limit of 2 CPUs per machine).
No additional Runtimes are required for computers that are connected to the server accessing the Application Software.
Even if you deploy your Application Software on a server you can still choose to License it per client if that is more economical for you.
For example: If you only have a few users that will be using your Application Software and it resides on a server it may be cheaper to purchase Non Prepaid or Prepaid Runtime Licenses per user than purchasing a Server Runtime License. However if you have a large number of users that will be using your Application Software and it resides on a server it may be cheaper to purchase a Server Runtime License instead of individual Non Prepaid or Prepaid Licenses.

If you install your Application Software on a server and only ten (10) computers are connected to the server, you can purchase ten (10) runtime licenses and will not be required to purchase a Server License.
If the Application Software is installed on one (1) server that is connected to one thousand (1000) computers you can purchase one (1) Server License and will not be required to purchase runtime licenses for the (1000) computers that are connected to the server.

Quarterly Reporting Required. The Runtime Agreements require that you account to LEAD by sending a quarterly report indicating the number of deployments you have made during the recently ended quarter. LEAD will mail you the necessary deployment reporting forms on a quarterly basis well in advance of the due date for reporting. The form is very simple to complete and you can respond by email, fax or mail. (LEAD does offer quantity unlimited licenses for some of their products. With the unlimited licenses, you are not required to report your deployment quantities or pay a per copy deployment rate. A note about new versions and runtime licensing:
Minor version updates to the Software (e. g. LEADTOOLS V15.1, 15.2 etc.) are available free of charge and provided that your users are already covered by a Runtime License you may update your Application Software on your users’ machines without additional Runtime Licenses being purchased.
Major version updates to the Software (e.g. V15 to V16, V17 etc.) will require you to purchase an upgrade development license. If a major new version of the LEADTOOLS Software is included in an upgrade to your Application Software, each user that is upgraded will be considered to be a new Deployment for purposes of runtime license payment and reporting and you would therefore need to purchase additional Runtime Licenses to cover your new version.

Any Prepaid Runtime Licenses that have not been deployed at the time that upgrade to a major new version of the LEADTOOLS Software will be carried forward and may be applied to Deployments of your Application Software made with the major new version of the LEADTOOLS Software.

You do not have any obligation to update previously deployed users or client licenses with the new version of your Application Software which includes the major new version of the LEADTOOLS Software but if you do, you need to ensure that you have a new version of the Runtime License to cover the deployment.

Export Restrictions:
Licensee acknowledges and agrees that the Software may be subject to restrictions and controls imposed by the United States Export Administration Act, as amended (the "ACT"), and the regulations thereunder. Licensee agrees and certifies that neither the Software nor any direct product thereof (e.g. the Application Software) is being or will be acquired, shipped, transferred or reexported, directly or indirectly, into any country prohibited by the ACT and the regulations thereunder or will be used for any purpose prohibited by the same. Licensee acknowledges that the Software may include "technical data" subject to export and re-export restrictions imposed by U.S. law. Licensee bears all responsibility for export law compliance and will indemnify LEAD against all claims based on Licensee’s exporting of the Application Software.
